Peak Filters 1,000 Package Terms and NDA
We ask all traders to sign the following NDA conditions before accessing our filters package:
CONFIDENTIALITY AND NON-DISCLOSURE AGREEMENT
This Agreement is entered into between Peak Trading Research, LLC ("Company") and the licensee ("User") regarding proprietary trading algorithms known as "Peak Filters 1,000 Package" ("Protected Materials").
CONFIDENTIALITY OBLIGATIONS User acknowledges receipt of Company's trade secrets and proprietary material and agrees to maintain strict confidentiality thereof. User shall not disclose, distribute, or transfer the Protected Materials, including but not limited to source code, .TXT files, .ZIP files, or any component thereof, to any third party.
PERMITTED USE User may create and share trading strategies derived from the Protected Materials but shall not disclose the underlying Protected Materials. User is granted a non-transferable, non-exclusive license for personal trading use only.
PROHIBITED USE User shall not: a) Utilize Protected Materials for professional money management as a CTA b) Incorporate Protected Materials into systems for sale or lease c) Sublicense or redistribute Protected Materials
SPECIAL LICENSING Commercial use requires separate licensing agreements with individual licenses required for each unit sold or leased.
TECHNICAL MEASURES Company reserves the right to implement user tracking and identification methods within the Protected Materials.
TRADE SECRETS Protected Materials include all proprietary information, processes, programming techniques, market logic, market timing, indicators, designs, specifications, and trading methodologies not generally known in the industry that provide Company competitive advantage.
ENFORCEMENT In any legal action arising from this Agreement, the prevailing party shall be entitled to recover reasonable attorney's fees and court costs.
